Viasim Studios | Terms & Conditions

Welcome to Viasim Studios. These Terms & Conditions ("Terms") govern the relationship between Viasim Studios ("Studio," "we," "us," or "our") and the client or purchaser ("Client," "you," or "your") regarding the purchase of original artwork, prints, and the commissioning of custom art services or murals.
By paying a deposit, purchasing an item, or signing an agreement with Viasim Studios, you agree to be legally bound by these Terms.
1. Intellectual Property & Copyright Ownership

Retained Rights: Viasim Studios retains all copyright and intellectual property rights to any and all artwork created, including original paintings, prints, custom commissions, and murals.

Reproduction Rights: The purchase of a physical piece of artwork or the completion of a custom project does not transfer copyright or reproduction rights to the Client. The Client may not reproduce, copy, alter, or resell digital or physical copies of the artwork for commercial purposes without explicit, written contractual consent from Viasim Studios.

Promotional Use: The Studio reserves the right to document, photograph, video record, and share the creation and final state of all artworks (including murals on private property) for promotional, portfolio, marketing, and social media purposes.
2. Client Obligations & Site Conditions (Murals)

Site Preparation: For all large-scale and mural projects, the Client is solely responsible for ensuring the designated wall or workspace is clear, clean, structurally sound, and fully accessible by the agreed-upon start date.

Delays: If the Studio is unable to begin work due to a lack of site preparation, restricted access, or unsafe working conditions, the project schedule may be delayed, and the Client may be subject to a rescheduling fee.

Permits and Clearances: The Client warrants that they have the legal right, ownership, or landlord permission to have the mural painted on the designated property. The Client is responsible for obtaining any necessary local permits or HOA approvals.
3. Project Revisions, Final Approval, & Acceptance

Design Approvals: For custom commissions and murals, designs are mutually agreed upon prior to the start of physical production.

Final Acceptance: Once the final payment is made by the Client, the project is officially deemed complete, accepted, and approved "as-is." Viasim Studios is not liable for future modifications, touch-ups, or changes requested after final sign-off and departure from the site.
4. Dispute Resolution & Anti-Chargeback Policy

Good Faith Resolution: In the event of a disagreement or dissatisfaction, the Client explicitly agrees to contact Viasim Studios directly to seek an amicable, mutual resolution before involving financial institutions or third parties.

Chargeback Prevention: Because all sales are final and all deposits are strictly non-refundable, any unauthorized or bad-faith credit card chargebacks will be vigorously contested.

Collection and Legal Fees: The Client agrees to be held responsible for any legal fees, administrative costs, processing fees, or collection agency expenses incurred by Viasim Studios while successfully defending or resolving an unauthorized chargeback or recovering unpaid balances.
5. Limitation of Liability & Indemnification

Artwork Care: Viasim Studios is not responsible for any damage, fading, chipping, or deterioration of artwork or murals caused by environmental factors, weathering, sunlight, moisture, accidents, or improper handling/cleaning by the Client after delivery or completion.

Indirect Damages: To the maximum extent permitted by law, Viasim Studios shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services or products.

Indemnification: The Client agrees to indemnify, defend, and hold harmless Viasim Studios from any claims, damages, liabilities, and expenses arising from a breach of these Terms by the Client or any third-party claims related to mural site access or property ownership disputes.
6. Governing Law & Severability

Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the state in which Viasim Studios operates, without regard to conflict of law principles.

Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions will continue in full force and effect.
